These Terms of Service ("Terms") govern your use of Donorly.ai and related services (collectively, the "Service"), operated by Empathy Engines, LLC. By using the site or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

No member registration is required to use basic features of the Service at this time.
You may not use Donorly.ai if you or the organization you represent are listed on government sanctions or proscribed lists, are owned or controlled by someone on those lists, or are involved in violent or otherwise unlawful activity. Empathy Engines, LLC may screen users and organizations against official lists and may suspend or terminate access if needed to comply with law or maintain service safety and security.
You may not use Donorly.ai to raise funds for:
You are responsible for checking the eligibility of your beneficiaries and for complying with all laws that apply to your fundraising activities, including but not limited to charitable solicitation laws, tax regulations, and anti-money laundering requirements.
You agree not to use the Service in ways that violate United States export control or sanctions laws. You may not use the Service from locations that are subject to comprehensive sanctions by the United States government.

By using these features, you agree to comply with the terms and policies of these third-party providers, including the Stripe Services Agreement and any connected account terms if you link your own accounts. You agree not to use Donorly.ai in any way that would cause Empathy Engines, LLC or our partners to violate their terms of service. Third-party providers may decline or reverse transactions under their policies, and Empathy Engines, LLC may take action to enforce our partners' requirements.
If you upload, submit, or send content to us (including text, images, documents, or other materials), you grant Empathy Engines, LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely to deliver and improve the Service. You retain ownership of your content and may request its removal at any time.
All payments made through Donorly.ai are processed by Stripe, our payment processor. Processing fees and any applicable charges are displayed at checkout or in your order confirmation. For nonprofit donations, funds may be transferred directly to the nonprofit's own Stripe account. All payments are subject to Stripe's terms of service and fraud prevention policies.

Donorly.ai, including the website, design, software, trademarks, and all related intellectual property, is owned by Empathy Engines, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works of the Service without our express written permission.
Empathy Engines, LLC may offer early-access features marked as "beta," "experimental," or "preview." These features are provided as-is and may change, have limited functionality, or be discontinued at any time without notice. We regularly update the Service to improve functionality and user experience.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. EMPATHY ENGINES, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TO THE FULLEST EXTENT PERMITTED BY LAW, EMPATHY ENGINES, LLC'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU ACTUALLY PAID TO EMPATHY ENGINES, LLC FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL EMPATHY ENGINES, LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify, defend, and hold harmless Empathy Engines, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another party.
Empathy Engines, LLC may suspend or terminate your access to the Service if you violate these Terms or if your use creates risk for us, other users, or third parties. You may stop using the Service at any time. Upon termination, your right to use the Service will immediately cease, but provisions that by their nature should survive will continue to apply.
Empathy Engines, LLC may update these Terms from time to time to reflect changes in our Service, business practices, or legal requirements. If we make material changes, we will post the new effective date at the top of these Terms and provide additional notice when required by law. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree to bring any disputes in the state or federal courts located in Delaware and consent to their personal jurisdiction. Before filing any lawsuit, you agree to first contact us to attempt to resolve the dispute informally.
These Terms constitute the entire agreement between you and Empathy Engines, LLC regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
